BYLAWS OF THE TEXAS KOI
& FANCY GOLDFISH SOCIETY
ARTICLE I:
NAME AND PURPOSE
SECTION
A: The name of the association
shall be the Texas Koi and Fancy Goldfish Society.
SECTION
B: The purpose of the
association will be to promote and enlarge the hobbies of Water Gardening, and
the keeping, breeding, exhibiting, and appreciating Koi and Fancy Goldfish. The
association will work to disseminate information and engage in charitable,
educational, and social activities related to our purpose and acquire and own
such equipment and supplies as may be necessary for any or all of these
foregoing purposes.
ARTICLE
II:
MEMBERSHIP
SECTION
A: Any person 18 years and older who
has an interest in Water Gardening, Koi, or Fancy Goldfish shall be eligible for
membership upon application and payment of dues as set forth in article III. Any
member may withdraw voluntarily, or may be suspended or expelled by a majority
vote of membership in attendance at a regular association meeting for violation
of association bylaws, non-payment of dues, or for conduct deemed detrimental to
the association.
SECTION
B: Membership shall not be
transferable and both membership and all rights in the property of the
association shall cease and terminate upon death, withdrawal, expulsion, or
other termination of membership in the association.
SECTION
C: All voting shall be done in person
by members in good standing. Members in good standing shall be defined as having
paid dues in full and not voluntary or involuntarily had their association
membership terminated as outlined in section B.
ARTICLE III: DUES
SECTION
A: Annual dues for members in
good standing shall be $20 for an individual or
$30 for a joint membership for two persons living at the same address.
(Joint
memberships are entitled two(2) votes for joint members at least 18 years
of
age) Dues are payable in full on January 1 of each year. New members
dues
are payable with their application for membership and may be
prorated
according to the time left in that calendar year.
ARTICLE IV:MEETINGS
SECTION A: Meetings will be held once a month or as determined by the association membership
SECTION
B: A change in the established
location, date and time of these regular
meetings may be made by written notice to the membership of such
change
in the form of the association newsletter or other notice.
SECTION
C: When deemed necessary, the
officers of the association may hold meetings
and prepare an agenda that may be voted on by mail or telephone if there
is
a question of time or a deadline, or if the association goals are
falling
behind schedule.
SECTION
D: Voting shall be by quorum. A
quorum consists of a simple majority of
members in good standing attending a regular scheduled or any
special
meeting.
SECTION
E: The annual meeting to elect
association officers shall be held on the regular association meeting in May of
each year. Notice of the election must be submitted to the membership, in
writing, at least five (5) days prior to said meeting. The association
newsletter shall be deemed a satisfactory method of written notification.
SECTION
F: An written treasurers'
report shall be submitted whenever requested and at least once a year at the
regular association meeting in January.
ARTICLE V OFFICERS OF THE ASSOCIATION
SECTION
A: The officers of the
association shall be President, 1st Vice President, 2nd
Vice President, Secretary, and Treasurer. New officer positions
maybe
created by the membership if deemed necessary. All officers must
be
members in good standing elected by members in good standing for one
(1)
year terms beginning in June and ending in May.
SECTION
B: A vacancy in any office may
be filled by a special election of a new officer
from the members in good standing, at any regular association meeting.
The
new officer will hold that position for the rest of that years term.
The
membership may also vote to hold the office open until the next
regular
election at the May meeting. Officer’s may be removed from office prior
to
expiration of their term only for good cause and ratified by the vote of
a
quorum at a regular association meeting.
SECTION
C: An executive committee will
be formed and consist of the association
officers and the following standing committee chairpersons:
Show Chairperson, Assistant Show Chairpersons,
Membership Chairperson, Fund Raising Chairperson, Newsletter Chairperson,
Program Chairperson, and A.K.C.A. Representative.
These Chairpersons may be an association officer
and/or any association member in good standing.
ARTICLE VI ELECTION OF OFFICERS
SECTION
A: At the regular association
meeting in May the association President will call
for nominations from the floor. Nominee must be present or submit a
written
request to be nominated for a specific office.
SECTION
B: At the May meeting the
association President will list the nominees and call
for a vote. The vote may be oral, by hand, or by secret ballot. If there are
two
(2) or more nominees for the same office, the vote shall be by secret
ballot.
The candidate with the highest number of votes will be declared elected
by
the President. In the event of a tie the President
will call for additional votes
until a majority has elected one candidate or the President declares
an
impasse at which time the matter will be decided by a coin toss. Change
of
officers will take place at the conclusion of the May association meeting.
SECTION
C: At the May meeting and
anytime during the year the President will appoint committees and Chairpersons
thereof. All elections and appointments are subject to the approval of those
elected or appointed.
ARTICLE VII DUTIES OF THE OFFICERS
SECTION
A: The duties of the President shall
be:
1)
To preside at all meetings at which he/she is present.
2) To appoint and supervise all Committees and
Chairpersons, with or
without assistance from the other officers.
3)
To install the newly elected officers at the beginning of their terms.
4) To call special meetings of the association,
committees, or any other meeting deemed necessary in accordance with the bylaws.
5) May appoint an auditor for the audit of the
association treasury/bank account/s. This auditor may be but does not have to be
an officer or a association member.
6) In case of any questions of demeanor, while in
office the President and other officers will be further governed by Roberts
Rules of Order (Revised Edition)
SECTION
B: The duties of the 1st
Vice-President shall be:
1)
To assume
all duties of the President during his/her absence or on request of the
President.
2)
Handle
any other duties which may be assigned.
SECTION
C: The duties of
the 2nd Vice-President shall be:
1)
To assume
all duties of the 1st Vice President during his/her absence or on request of the
President.
2)
Handle
any other duties which may be assigned.
SECTION
D: The duties of the Secretary shall be:
1)
To keep all records of the meetings.
2) To send out notices of regular or special meetings
and other notices as deemed necessary by the president.
3) Preside over all correspondence, in order to
comply with the association bylaws.
SECTION
E: The duties of the Treasurer
shall be:
1) To collect and record all dues, fees and other
revenues paid to the association as the results of association activities, and
all other monies due to or received by the association and deposit revenues into
the association bank account.
2) Prepare and present, when requested, at a regular
meeting a report of the revenues and expenditures incurred or disbursed for the
current year.
3)
Pay
association bills
4) Prepare and submit all reports required by any
governmental agency.
5) Pay any taxes, if taxes are due.
6) Prepare and maintain an accurate and up to date
inventory including the location of all association property and assets.
ARTICLE VIII COMMITTEES
SECTION
A: There shall be standing
committees and select committees. Standing
committees shall be established by the membership and appointed bythe
President. All other committees shall be created and appointed by
the
President as the need arises. All committee chairpersons shall keep
a
written record of the proceedings and actions of their
respective
committees as a history and to assist their successive chairpersons.
ARTICLE
IX APPROVAL AND
AMENDMENTS TO THE BYLAWS
SECTION
A: These bylaws may be approved
or amended by a vote of a simple majority of the members in good standing
present at any meeting provided proper notice of said meeting is given, in
writing, as specified by these bylaws. Proposals for amendments to the bylaws
may be offered by any member in good standing and at any meeting where proper
notice has been given.
ARTICLE X PROPERTY RIGHTS OF MEMBERS
SECTION
A: The property rights of this
association are irrevocably dedicated to the
objectives and purposes of the association outlined in article I, section B
of
the bylaws. In the event of the dissolution of the association, its
properties
and monies shall not revert to the possession of the membership, but shall
be
given to any other like-minded organization. Vote of association
membership
will determine recipient of association property in the event of dissolution
of
the association. No part of any net earnings or assets of the
association
shall inure to the benefit of any association member or individual.
SECTION
B: Property of the association
shall include all real property, membership lists, financial records, or any
other information/data tangible and/or intangible pertaining to the business of
the association.
SECTION
C: All property of the
association, tangible or intangible, as defined in these bylaws shall be
surrendered to a association officer within thirty(30) days upon request of the
association President.
ARTICLE XI PARLIAMENTARY AUTHORITY
SECTION
A: Roberts Rules of Order
(Revised Edition) shall govern all proceedings of the association, provided they
are not in conflict with these bylaws.
ARTICLE XII SALES
OF MERCHANDISE
SECTION
A: It is not the purpose of the
association to promote any commercial enterprise. No commercial sales are to
take place during the course of official association meetings.
